1 TERMS & CONDITIONS

1 These terms and conditions are designed to make www.riverempowerment.com a productive and workable place for our Members.

2 ACCEPTANCE OF TERMS AND CONDITIONS

2.1 These terms and conditions are the terms on which River Empowerment Limited ("River Empowerment") offers you access to the Services contained on the web site www.riverempowerment.com.
2.2 By registering as a Member of River Empowerment you are agreeing to be bound by these terms and conditions and you agree to be bound by these terms and conditions as well as any other guidelines, rules, additional terms referenced herein including any amendments made to them from time to time.
2.3 If you do not accept or are unwilling to be bound by these terms and conditions then you must not use or access the Site or the Services.
2.4 By accepting these terms and conditions you will receive a River Empowerment email newsletter on a regular basis. If you do not wish to receive these emails, please reply to them with unsubscribe in the header. The newsletter will be used to promote special offers from River Empowerment that are available to our Members.

3 FUTURE AMENDMENT OF TERMS AND CONDITIONS

3.1 River Empowerment may amend these conditions in whole or in part from time to time in our sole discretion and we recommend that you check them on a regular basis. Amendments will be effective immediately upon posting of the amended terms and conditions on the Site. You are responsible for ensuring you are familiar with the latest version of the terms and conditions. You agree to check the terms and conditions each time you use the Services and you will be taken as accepting the then current terms and conditions each time you choose to use the Services.

4 TERMINOLOGY

In these terms and conditions, the following words have the meanings set out as follows:

"Member" means a registered member of River Empowerment.
"Services" means any one or more of the services offered by River Empowerment from time to time by way of the Site or otherwise, including PoLR™ Programs and PoLR™ EBooks, Forums, consultancy services, seminars, training programmes and any other service that River Empowerment may offer.
"Site" means the website known as "riverempowerment.com"
"we", "us" and "our" are a reference to River Empowerment Limited.
"you" and "your" are a reference to you.


5 RIVER EMPOWERMENT’S SERVICES

5.1 River Empowerment provides the Site for Members to:

(a) Purchase Services
(b) Obtain business development advice and feedback
(c) Offer contributions and solicit comment from, and share comments with other Members.

6 BECOMING A MEMBER

6.1 Membership is available to all client/customers of River Empowerment. However, you may only register as a Member if you can form a legally binding contract that is enforceable against you. By registering as a Member, you warrant that you can form a legally binding contract and you acknowledge that by becoming a Member you are contractually bound by these terms and conditions

6.2 Accurate Membership Information and Security

(a) You warrant that the information provided when you registered was and remains complete and accurate. You must maintain and update your personal information held by River Empowerment to ensure it is current at all times. You must not register multiple identities or use another person’s name and personal details. River Empowerment may phone or mail you to verify these details.

(b) You are responsible for keeping your login information, including your email address and password, secret and secure. Without limiting the foregoing, you agree:

(i) Not to permit any other person to use your user name or Membership; and
(ii) Not to disclose your password, or any information to any other person that may allow them to use your Membership.
(iii) You agree that any PoLR™ Programs and/or PoLR™ EBook which you purchase is for your personal use and it will not be made available for use by any other person unless such use is first approved in writing by River Empowerment.
(iv) You agree to indemnify River Empowerment for any unauthorised use of your password or account or any other breach of security and ensure that you exit from your account at the end or each session.

6.3 Termination of Membership:

River Empowerment reserves the right to decline to register or to terminate your Membership without providing you with any warning or entering into discussions with you. By way of example and not limitation, River Empowerment may terminate your Membership if a serious complaint is received about you from another Member or Members, you breach these terms and conditions (regardless of whether you were aware that you were breaching these terms and conditions at the time of the breach), or if we deem your behaviour to be unacceptable. Members who have registered under multiple aliases will have all of their aliases disabled

7 AT YOUR OWN RISK

7.1 Any material downloaded or otherwise obtained though the use of the Service is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of such material. We will take reasonable care to ensure that information provided through the Services is accurate, reliable, adequate, complete and current but we cannot and do not represent or warrant that this will always be the case.

7.2 River Empowerment does not control the content posted by Members, including the content of any comment or advice, and does not guarantee the accuracy, integrity or quality of such content. Contact between you and other Members is conducted entirely at your own risk.

7.3 You expressly understand and agree that River Empowerment gives no undertakings, representations, or warranties in relation to products or Services sold on the Site, including:

(a) that the Services will meet your requirements;
(b) that the Service will be uninterrupted, timely, secure or error–free;
(c) as to the results that may be obtained from the use of the Service
(d) as to the identity of any of the or Members; or
(e) as to the accuracy or truth of Member’s contributions
(f) that any errors in the software will be corrected.
(g) that any information provided on the Site is correct, error-free or reliable;

7.4 You agree that River Empowerment takes no responsibility or liability for any misconduct or breach of these terms and conditions by any of its Members including, without limitation, Members that have made false registrations or who attempt to mislead or defame you or otherwise waste your time.

8 LIMITATION OF LIABILITY AND DISCLAIMER

8.1 River Empowerment does not necessarily endorse, support, sanction, encourage, verify or agree with the comments, opinions or statements posted by Members using the Site.

8.2 You understand that by using the Service you may be exposed to content that is inaccurate or misleading. Under no circumstances will River Empowerment be liable in any way for any content, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of your use of any content. River Empowerment will endeavour to remove any content which is offensive, objectionable or clearly incorrect as soon as such content is brought to its attention

8.3 You understand that River Empowerment may or may not pre-screen Content submitted, but that River Empowerment shall have the right in their sole discretion to pre-screen, refuse, or move any Content, that is available via the Site. River Empowerment has the right to remove Content that violates the terms and conditions or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content created by River Empowerment or submitted to River Empowerment, including without limitation information in the forum.

8.4 To the maximum extent permitted by law, any and all liability of River Empowerment which arises in connection with these terms and conditions, or in connection with the, the Site, another Member's acts or omissions, or your use of or inability to use, the Services or the Site is excluded. Furthermore, River Empowerment's liability is excluded in respect of any incidental, punitive, and consequential damages, whether direct or indirect, including, without limitation, , loss of data, business interruption, loss of business loss of profits or anticipated savings, general and special damages, and consequential or incidental loss.

9 INDEMNITY

9.1 You agree to indemnify River Empowerment and keep River Empowerment indemnified River Empowerment at all times hereafter from and against all actions, claims, costs (including all solicitor/client legal costs and expenses) losses, damages, liabilities or demands suffered or incurred by River Empowerment arising out of or in connection with your failure to comply with these terms and conditions, - including any failure which relates to your use of any forum, message boards and chat rooms on the Site, or arising out of any content you submit, to the Site.

9.2 On any default or failure by you to observe and perform any of the covenants terms and conditions of these Terms you will forthwith on demand by River Empowerment pay to River Empowerment and make good all losses and expenses sustained or incurred by River Empowerment by reason of or in consequence of any such breach, default or failure by you.

10 RULES

10.1 You are responsible for complying with all laws applicable to the content you submit to the Site. You agree that you must evaluate and bear all risks associated with the use of any content, including any reliance on the content, integrity, and accuracy of such content.
10.2 All contributions and other communications made through the Site shall be made in good faith. In posting content you should be objective and truthful. You must not submit false or misleading information to the Site. You should be detailed and specific, and give other Members a feel for your experience.
10.3 You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights.
10.4 You must not market or export any content to any web site other than the Site. Linking your content from other websites will be considered a breach of these terms and conditions.
10.5 You must not post or offer specific content about yourself or include any contact details or personal information in your contributions to the forum.
10.6 You must not attempt to interfere with or harm the Site or Services, or any network, or system underlying or connected to them.
10.7 You must not use the Services or the Site to promote items for sale outside the Services.
10.8 You may not modify, adapt, translate or reverse engineer any portion of the Site.
10.9 You may not collect any information about other users or Members (including usernames and/or email address) for any purpose other than to share contributions with other Members.
10.10 You must not create a user account by automated means or under false or fraudulent pretences.
10.11 You must not create or transmit unwanted electronic communications such as “spam” to other users or Members or otherwise interfere with other user’s or Member’s enjoyment of the Site.
10.12 You must not submit any third party materials or content without that third party’s prior written consent.
10.13 You must not use a robot, spider, scraper or other automated means to access the Site or information feature on it for any purpose.
10.14 You understand and agree that you will not be entitled to a refund of any money paid to River Empowerment or compensation in respect of any unfavourable content or content that is posted against you by other Members.
10.15 River Empowerment Memberships are not transferable and therefore can not be sold or traded.

11 NO GUARANTEES OR ENDORSEMENTS OF SITES OR SERVICES LINKED TO THE SITE OR THAT THE SITE LINKS TO

11.1 Links to third party websites are provided for convenience only. Links should not be construed as any endorsement, approval, recommendation or preference by us of the owners or operators of the sites, or of any information, products or Services referred to on those other sites or otherwise posted on this website, unless specifically stated.

11.2 River Empowerment is not responsible for the copyright compliance of any linked site. River Empowerment will not be liable for any damages or loss arising in any way out of or in connection with or incidental to any information or third party Service provided by any third party.

12 ENDING, CHANGING OR SUSPENDING ANY SERVICES

12.1 River Empowerment may at any time and without notice:

(a) Change the format and content of this Site and/or products or Services offered at the Site
(b) Stop providing, suspend or restrict your access to any Service if you do not meet any responsibility you have to us; or
(c) Terminate of suspend the operation of the Site and/or the Services (in whole or in part) temporarily, if we think it reasonable or necessary (e.g. for support or maintenance work or to update content) permanently if we decide to discontinue a particular Service.
(d) This will not affect any rights and responsibilities which are intended to continue, or come into force after that date or event.

13 GENERAL MATTERS

13.1 Returns

(a) If any customer is not satisfied with any PoLR™ Programs and/or PoLR™ EBooks purchased from the Site, River Empowerment shall refund the customer in full, upon written request, within 30 days of the customer providing River Empowerment with proof that they have:

(i) Read or listened to the workbook and/or audios provided; and
(ii) Answered the questions and attempted the activities in the workbook or program; and
(iii) Asked your questions regarding application of the PoLR™ Programs and/or PoLR™ EBooks in the forum or to Lisa Mandic.

13.2 System Integrity:

River Empowerment will use its reasonable endeavours to ensure that the Site and Services, are always available, subject to any downtime required for maintenance. River Empowerment will endeavour to provide advance notice of planned maintenance; However, River Empowerment takes no responsibility for any system unavailability, or for any loss that is incurred as a result of the Site or Services being unavailable. Further, River Empowerment assumes no responsibility for the corruption of any data or information held by River Empowerment or you.

13.3 No Waiver:

If we do not exercise or enforce any right available to us under these terms and conditions, it does not constitute a waiver of those rights.

13.4 Partial Invalidity:

If any provision of these terms and conditions becomes or is held to be invalid, unenforceable or illegal for any reason, and in any respect, that provision shall be severed from the remaining terms and conditions, which shall continue in full force and effect.

13.5 Governing Law:

These terms and conditions are governed by the laws of New Zealand.

13.6 Intellectual Property Rights:

(a) River Empowerment owns all proprietary and intellectual property rights in the Site (including text, graphics, logos, icons and sound recordings) and the software and other material underlying and forming part of the Services and the Site. You may not without our prior written permission, in any form or by any means:
(i) Copy, distribute, display, publish or create derivative works from any part of the Site; or
(ii) Commercialise, copy, or on-sell any information, or items obtained from any part of the Site.
(b) Any rights not expressly granted herein are reserved. You agree not to breach any trade mark, copyright, patent, design or other rights in relation to all trade marks, information, images, logos and other intellectual property included in the Site.
(c) No logo, graphic or image from the River Empowerment site may be copies or retransmitted unless expressly permitted in writing by River Empowerment.
(d) Do not upload or copy any material unless you have the right or appropriate consent to do so.
(e) You agree not to download, copy, transmit or otherwise replicate any of the information on this Site, including comments, for any business purpose.
(f) If you post any material on this Site, you agree that we may reproduce, publish, modify and distribute that material and incorporate it in other works in any form but only for purposes reasonably associated with the posting and the operation of the Services.
(g) If you do not own the material, you must get the owner’s consent before you post or upload it.

13.7 Entire agreement

These terms and conditions supersede all previous conditions, understandings, commitments, agreements and representations whatsoever whether oral or written, and constitutes the entire agreement, between the parties, relating to the subject matter of these terms and conditions.

13.8 Specific Agreement will prevail

Where you have entered into an agreement with River Empowerment ("Specific Agreement") then any conflicting provisions of that Specific Agreement shall prevail over this Agreement, except where particular matters are not dealt with in the Specific Agreement and in that case, this Agreement shall prevail.

13.9 Privacy

(a) Without limiting our Privacy Policy you agree that River Empowerment may use personal information collected from you to assist us to provide the Services to you, to verify your identity, for promoting and marketing of additional River Empowerment products and Services to you, and for any other use that you authorise.

(b) River Empowerment does not allow third parties to access your personal information without your consent, however you agree that River Empowerment may disclose your personal information to the relevant authorities, parties and/or the applicable intellectual property right holders (or their representatives) if we consider that you are in breach of our privacy policy.

(c) You may contact us to request access to any information that we hold about you and you may also ask us to correct that information if you consider it to be inaccurate.
